 BY-LAWS FOR THE SHADLE PARK DANCE

 

ARTICLE I - PURPOSE STATEMENT

 

SECTION 1. NAME.

The name of this organization shall be The Shadle Park Dance Organization, and hereinafter be referred to as the Organization or SPDO.

 

SECTION 2. PURPOSE

The purpose of the Organization is to support and promote ALL activities related to supporting the Shadle Park High School Dance Team by uniting students, parents, coaches, faculty, staff, and community in a way that enhances the sharing of school spirit, moral as well as financial support. To assure the ongoing improvement to the Shadle Park High School Dance Team programs the Organization shall recognize and work in conjunction with all individuals and groups associated with Shadle Park High School for the betterment of the students.

 

SECTION 3. ORGANIZATION

A) The Organization shall be formed as a Washington State Non-Profit Corporation and will maintain Internal Revenue Code Section 501 (c) (3)-tax status.

B) The organization will support the policies of Spokane School District 81, unless in direct conflict of these by-laws.

 

ARTICLE II – MEMBERSHIP

 

SECTION 1. MEMBERSHIP

Membership in the Organization:

All parents of dance team members, parents of former dance team members, former dance team members which are at least 18 years of age are welcome to join the Shadle Park Dance Organization at any time and there are no initiation fees at this time.

 

SECTION 3. ENTITLEMENTS

Members in good standing are entitled to all benefits and privileges of the Organization. The definition of Member in Good Standing is defines as:

  • Good Moral Character

  • Complies with the Shadle Park Dance Team Contract

  • Complies with all Shadle Park High School Rules and Regulations

  • Active Participation in events as available

  • Attend 2 of the last 5 membership meetings

 

ARTICLE III-ORGANIZATION OFFICERS

 

SECTION 1.

No person shall hold more than one Officer position.  The Officers of the Organization shall consist of the following:

A)              Chief Executive Officer

B)              President

C)              Vice-President

D)             Secretary

E)              Treasurer

G)             Membership Chair

I)               Committee Chair

I)               Past President

  

SECTION 2. DUTIES OF THE OFFICERS

The duties of the Officers shall be described as follows.

 

Chief Executive Officer

  • Servers as a liaison between the Shadle Park Dance Organization and the administration of Shadle Park High School

  • Advocates on behalf of the students at Shadle Park High School for financial requests

  • Confirms appointment for all officer positions as elected by the membership.

  • Participates in monthly Shadle Park Dance Organization meetings

  • This is a non-voting position 

 

President

  • To call meetings of the general membership, Officers, Directors, and special membership meetings

  • Preside at such meetings and create monthly agendas

  • Represent the organization at meetings of any other group(s) where the purposes and actions of the Organization have pertinence; Perform other duties as prescribed by the Officers and Directors of this organization

  • Manages and directs the activities of the Shadle Park Dance Organization

  • Serve as the primary spokesman for the Shadle Park Dance Organization

  • Serve as the secondary signature on all Shadle Park Dance Organization accounts

  • Creates a voting committee within the Shadle Park Dance Organization members

 

Vice-President

  • To serve as the first backup officer to the President, and perform the duties of President at such times as the President is unable to serve at any Organization function

  • Implement the Shadle Park Dance Organization By-laws

  • Revisit and revises organization By-laws as needed

  • Conduct meetings and other responsibilities when the President is absent

  • Perform other duties as prescribed by the Officers and Directors of this Organization

 

Secretary-

  • To maintain and keep records of the Organization and it’s officers

  • Takes the minutes at the Shadle Park Dance Organization meetings

  • Communicates the minutes via e-mail to the members

  • Promotes all Shadle Park Dance Organization activities through marketing, social media and other media outlets

 

Treasurer

  • To collect, deposit and disburse the funds of the Organization as directed by the Officers

  • Keep all financial records of the Organization

  • Renewing D&O yearly insurance plan and the cost thereof shall be borne by the organization

  • At the direction of the organization will present for examination all records pertaining to the office

  • Make such further reports and perform other duties as prescribed by the officers and directors of the Organization

  • Ensure Compliance of a 501 (c) (3)

  • Monthly Financial Updates

 

Membership Chair

  • Recruits parents to Shadle Park Dance Organization meetings

  • Track current and alumni membership

  • Notification to alumni members of events

 

Committee Chair

  • Recruits and coordinates participants (students/parents/teachers) to all Shadle Park Dance Organization fundraisers

  • This is a non-voting position

 

Past President

  • To assist the President in assuring a smooth and orderly transition of office

  • Serve as advisor to the officers and directors on parliamentary procedures and on the historical affairs of the Organization

  • This is a non-voting position 

 

SECTION 3. APPOINTMENT OF OFFICERS

Appointment of Officers shall occur at the July meeting of the Organization annually. The Organization members shall submit a slate of candidates at the regular June meeting. Additional nominations will be accepted from the floor providing prior approval has been obtained from the nominee to serve in the office for which he/she is nominated. The nomination will consist of a nomination letter, (3) letters of recommendation, and current resume (within 6 months). All nominees must be members in good standing.

The Chief Executive Officer will make the appointment(s).

 

SECTION 4. TERMS OF OFFICE

The terms served by all Officers, shall be for one (1) year from July through June the following year. No individual may be appointed to more than four consecutive terms in the same office.

 

SECTION 5. VACANCIES

Vacancies of Officers shall be filled by appointment made by the Chief Executive Officer; the new appointee shall serve until the vacant term expires. Appointees shall be made from the ranks of members in good standing of the Shadle Park Dance Organization.

 

ARTICLE V-MEETINGS

 

SECTION 1. REGULAR MEETINGS

Regular meetings shall be held monthly during the school year at such places as designated by the Officers. Notice of any change in time, date, or place shall be given to the membership by the Secretary at least ten days before the scheduled meeting.

 

SECTION 2. SPECIAL MEETINGS

Special meetings may be called by the President or by a majority vote of the Officers or Directors. Notice of these meetings shall be given to the membership by the Secretary.  Additionally, the Voting Committee may take a vote via e-mail if deemed necessary by the organization Officers.

 

SECTION 3. CONDUCT OF MEETING

All membership meetings shall be conducted as follows:

A) In accordance with Roberts Rules of Order, except where they are in conflict with the by-laws of this document, in such event, these by-laws shall govern.

 

1. Each Officer shall have the responsibility, prior to each vote to declare their eligibility with the respect of conflict of interest. This is specifically important when requests are made for funds in which they have a child or relative participating in the requesting organization, group or team.

 

2. Officers of the Organization will vote, in the case of a tie vote by the Officers, the President shall make the final call.

 

C) EQUAL TIME.

It shall be the policy of this organization to allow equal time to all persons wishing to be heard on a specific issue. In order to fairly administer this policy, the President shall be empowered to determine the amount of time allowed to each member in good standing to speak on that issue insofar as that amount of time is identical to limitations put on any other member in good standing wishing to be heard. The number of speakers regarding a specific topic shall not be limited, but their total time to speak shall not exceed the amount of time predetermined by the President.  Currently each speaker has 10 minutes to present their information.

 

ARTICLE VI-COMMITTEES

 

SECTION 1. COMMITTEE CHAIRPERSONS.

Committees may be chaired by Officers or members in good standing. 

 

ARTICLE VII-FUNDS

 

SECTION 1. DEPOSIT OF FUNDS.

All funds of the Organization shall be deposited in a qualified depository or depositories within the community of Spokane under the name of Shadle Park Dance Organization as the Officers may designate by resolution.  Funds earned must turned over to the Treasurer within 72 hours.

 

SECTION 2. DISBURSEMENTS.

All disbursements shall be made by checks signed by the organization Treasurer. All signatories shall be required to be bonded, and the cost thereof shall be borne by the organization.

 

ARTICLE VIII-AMENDMENTS

 

SECTION 1. AMENDMENT PROPOSALS.

Amendments to these by-laws may be proposed in the following manner:

A) By majority of the current Officers

B) By written request of the membership, submitted to the Officers and a petition signed by a minimum of 30% of the members in good standing.

 

SECTION 2. PRIOR NOTICE OF VOTE.

Copies of all proposed amendments and Funds Requests shall be made available to the Officers at least 10 days prior to the time at which they will be considered. The Secretary shall be responsible for providing notice to the General Membership, and send copies of the proposed amendment to any member upon request.

 

SECTION 3. AMENDMENT VOTE.

Amendments to the By-laws shall be made by a two-thirds majority of the Officers casting an affirmative vote at a scheduled meeting.
